1. Introduction
Welcome to LuthierPro! These Terms of Service (“Terms”) govern your use of our website https://luthierpro.app (the “Website”) and our SaaS platform for luthier business management (collectively, the “Services”), operated by LuthierPro (“we,” “us,” or “our”).
Please read these Terms carefully before using our Services. By accessing or using the Services, you agree to be legally bound by these Terms and our Privacy Policy. If you do not agree with any of its provisions, you must not access or use the Services.
2. Use of Our Services
You must be at least 18 years of age or the age of majority under the applicable laws in your jurisdiction (whichever is greater) to use our Services.
By creating an account or using our platform, you agree to provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your access credentials and for all activities that occur under your account.
Our Services are designed for luthiers, technicians, and their customers to manage business relationships, track repairs, administer billing, and organize workshop operations. You agree to use the Services only for their intended purpose and in accordance with applicable laws and regulations.
3. User Accounts and Responsibilities
Account Creation:
To access certain features, you must register and create an account. You are responsible for keeping your account information truthful, current, and complete.
Account Security:
You are responsible for protecting your password and for all activities that occur on your account. You must not share your credentials with third parties. If you detect unauthorized access, notify our support team immediately.
Business Relationships Between Users:
LuthierPro acts solely as an intermediary platform. We do not participate in agreements, transactions, or disputes between users. Any contract, quality of service, price, or customer satisfaction is the sole responsibility of the users involved.
4. Prohibited Conduct
You agree not to use the Services for any illegal purpose or in any way that could damage, interfere with, or negatively affect the quality or functionality of the Service. In particular, you agree not to:
- Transmit defamatory, offensive, discriminatory, or otherwise objectionable materials.
- Attempt to gain unauthorized access to our systems or networks.
- Interfere with the operation of the Service, including computer attacks or server overload.
- Collect or extract user information without their consent.
- Impersonate another person or entity.
- Post or transmit content that infringes on copyright or other intellectual property rights.
- Introduce malicious code, viruses, or any other harmful software.
5. Intellectual Property
The Service and all its original content (excluding user-generated content), including text, graphics, logos, software, and designs, are and will remain the exclusive property of LuthierPro and its licensors. No part of the Service may be copied, modified, distributed, or exploited without prior written consent from LuthierPro.
User Content:
You retain all rights to the content you post on the platform. However, by uploading content, you grant LuthierPro a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, modify, and distribute such content for the sole purpose of operating and improving the Service.
6. Payment Terms
Subscription Services:
Some features of the Service require payment of fees or subscription plans. All payments are non-refundable, except as expressly stated in these Terms or as required by law.
Payment Processing:
Payments are managed through third-party payment processors. By making a transaction, you agree to their service and privacy policies.
Price Changes:
LuthierPro may modify its fees at any time. We will notify you of such changes at least 30 days in advance via email or within the user dashboard.
7. Refund Policy
7.1 General
LuthierPro offers a digital service in a SaaS model. Due to the nature of the service (immediate access to online tools), refunds are not provided once a subscription period has started or a paid account has been activated.
7.2 Exceptions
You may request a refund only in the following cases:
- If a duplicate or erroneous charge has occurred.
- If you are unable to access the Service for more than 72 consecutive hours due to a verifiable technical failure attributable to LuthierPro.
- If you cancel within an initial free trial period, when available.
7.3 Subscription Cancellation
You can cancel your subscription at any time from your account. Cancellation will stop future charges but does not generate a refund for the period already paid.
7.4 Request Procedure
To request a valid refund, you must contact [email protected] within 14 days of the charge, providing your name, account email, reason, and proof of payment. LuthierPro will evaluate each case and respond within a maximum of 10 business days. If the refund is approved, it will be processed using the original payment method.
7.5 Automatic or Fraudulent Refunds
Refunds for misuse of the service, unfounded disputes with the payment processor ('chargebacks'), or breach of these Terms will not be accepted. Such actions may lead to account suspension.
8. Termination
We may suspend or terminate your access to the Services, without prior notice, if you breach these Terms or for security reasons.
Upon termination of your account, you will immediately lose access to the Services. You may request the permanent deletion of your data by writing to [email protected].
The clauses on intellectual property, limitation of liability, indemnification, and applicable laws will remain in effect after termination.
9. Limitation of Liability
In no event shall LuthierPro, nor its directors, employees, or affiliates, be liable for any indirect, incidental, special, or consequential damages, including loss of profits, data, use, or reputation, arising from:
- The use or inability to use the Service.
- Conduct or content of third parties.
- Loss or alteration of data.
- Business disputes between users.
Maximum Liability:
LuthierPro's total liability to the user shall not exceed the amount paid for the Service in the twelve (12) months preceding the claim. Some jurisdictions do not allow the exclusion or limitation of certain liabilities, so these limitations may not apply to you.
10. Disclaimer
The Service is provided 'as is' and 'as available,' without warranties of any kind, express or implied. We do not guarantee that the Service will be uninterrupted, error-free, or secure.
Business Services Disclaimer:
Furthermore, LuthierPro does not guarantee the quality, legality, or suitability of the services provided between users, nor is it responsible for disputes, losses, or damages arising from such business relationships.
11. Indemnification
You agree to indemnify and hold harmless LuthierPro, its employees, and affiliates from any claim, loss, damage, or expense (including legal fees) arising from:
- Your use of the Service.
- The breach of these Terms.
- The violation of third-party rights.
- Any damage caused by your content or activity on the platform.
12. Personal Data Protection
The processing of personal data we collect through the Services is governed by our Privacy Policy, which describes how we collect, use, store, and protect users' personal information in compliance with applicable data protection laws.
13. Governing Law and Jurisdiction
These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which LuthierPro operates, without regard to its conflict of law provisions.
